1. Who we are and what this covers
ROAM Intelligence (“ROAM,” “we,” “us”) provides a persecution intelligence monitoring and analysis platform, delivered as a subscription software service to NGOs, missions, advocacy organizations, and field-security teams. These Terms form a binding agreement between ROAM and the individual or organization that registers for an account (“you,” “Customer”).
2. Accounts and eligibility
You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity that occurs under your account. You must be legally able to enter into a binding contract to use the Service, and organizational accounts must be created by an authorized representative of that organization.
3. Subscription plans, billing, and Stripe
Paid plans are billed in advance on a monthly or annual basis, as selected at signup, and are processed through our payment processor, Stripe. By subscribing, you authorize recurring charges to your chosen payment method until you cancel. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing prospectively with reasonable notice; continued use after a price change constitutes acceptance of the new pricing for your next billing cycle. Failure to pay may result in suspension or termination of your account.
4. Nature of the data and no guarantee of completeness or accuracy
ROAM aggregates, structures, and analyzes reporting drawn from public sources and monitored feeds, applying automated processing and human review. Despite our verification methodology, ROAM cannot and does not guarantee that any record, score, country assessment, or output is complete, accurate, current, or free of error. Persecution and security conditions change rapidly and reporting from the field is often incomplete, delayed, or contradictory. You are solely responsible for independently verifying any information before relying on it for operational, travel, safety, or other decisions. The Service is provided for informational purposes only and is not a substitute for professional security, legal, or safety judgment.
5. Acceptable use
You agree not to: (a) use the Service to endanger any individual, including by attempting to identify, locate, or expose persons described in incident records; (b) resell, sublicense, or provide third-party access to the Service without our written consent, except through the API/webhook functionality provided for that purpose; (c) reverse-engineer, scrape, or attempt to extract the underlying data set at scale outside of your contracted API entitlements; (d) use the Service in violation of applicable law, including export control and sanctions law; or (e) interfere with the security or normal operation of the Service.
6. Intellectual property
ROAM and its licensors retain all right, title, and interest in the Service, including the underlying software, methodology, scoring models, and compiled data set. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal operational purposes during your subscription term. You retain ownership of data you submit to the Service (such as focus-area configurations and notes), and grant us a license to process it as necessary to provide the Service.
7. Confidentiality
Each party will protect the other’s confidential information with reasonable care and use it only as necessary to perform under these Terms. This does not restrict either party’s use of information that is or becomes public through no fault of the receiving party, or that is independently developed.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY RECORD OR SCORE WILL BE ACCURATE OR COMPLETE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROAM AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ROAM’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT YOU PAID TO ROAM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless ROAM and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of these Terms or applicable law; (b) any action taken in reliance on Service output without independent verification; or (c) your violation of any third-party right, including privacy or intellectual property rights.
11. Term, suspension, and termination
These Terms remain in effect while you maintain an account. We may suspend or terminate your access for breach of these Terms, non-payment, or conduct that creates risk or legal exposure for ROAM or others. You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing period unless otherwise stated. Sections that by their nature should survive termination (including Sections 6–10) will survive.
12. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new “Last updated” date, and for material changes we will provide reasonable advance notice (such as email or an in-product notice). Continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there.
